Redistribution & Commercial License Terms

1. Purpose and relationship to the Terms of Service

The Terms of Service grant each customer a limited, internal-use license to the Data and prohibit redistribution except under a separate written license (Terms §8, §12). This document defines what "redistribution" means and the baseline conditions on which Datavidence grants it. It does not itself grant any redistribution right — a right to redistribute exists only when Datavidence and the customer sign an order form or agreement that expressly grants it and incorporates these terms.

2. Definitions

• "Redistribution" means making the Data — in whole, in part, or in any modified, reformatted, or derived form — available to any third party, whether by API, file, feed, download, display, embedding, or any other means, and whether or not for a fee. Providing the Data to your own employees and contractors for your internal business use is not Redistribution.
• "End Recipient" means any third party to whom you make the Data available under a redistribution grant.
• "Derived Data" means data you produce from the Data, including normalized extracts, computed metrics, and datasets in which the Data is a material input.

3. Default rule: no redistribution

Under the Free, Pro, and Business plans, the Data is licensed for your internal business use only. You may not Redistribute the Data or Derived Data, and you may not use the Service to build or populate a dataset, feed, or product that is itself redistributed, resold, or made available to third parties. Internal caching and operational storage as described in §6 is permitted; publishing individual figures with attribution as described in §7 is permitted.

4. When redistribution is permitted

Redistribution is available only under Datavidence's Enterprise offering, by a signed order form or agreement that (a) expressly grants redistribution rights, (b) defines the permitted scope (named products, End Recipient types, volumes, territories, and term), and (c) incorporates these terms. Redistribution is not available on a self-serve basis or through the standard marketplace plans.

5. Baseline conditions for any redistribution grant

Every redistribution grant is conditioned on your compliance with all of the following, in addition to any additional terms in the order form:

1. Source attribution. You attribute the underlying source as public filings from the U.S. Securities and Exchange Commission (SEC) EDGAR system, and you do not remove or obscure provenance fields (including source_url) where the grant contemplates passing them through.
2. No implied affiliation. You do not state or imply that you, your product, or your End Recipients are affiliated with, endorsed by, or sponsored by Datavidence or the SEC beyond the rights actually granted.
3. Disclaimer flow-down. You pass through to every End Recipient the "informational only / not advice" and "as is, no warranty" disclaimers in the Terms of Service (§4–§5), and you do not make warranties about the Data on Datavidence's behalf.
4. No competing dataset. You do not use the Data or Derived Data to build, train, or populate a product or dataset whose purpose is to substitute for or compete with the Service as a redistributable source of normalized filing data, except as expressly permitted by the order form.
5. Scope limits. You stay within the products, End Recipient types, volumes, territories, and term defined in the order form. Redistribution outside that scope is unlicensed.
6. Flow-down of acceptable use. You bind your End Recipients to use restrictions at least as protective as the Terms of Service acceptable-use and liability provisions.
7. Security and revocation. You promptly disable access for any End Recipient in breach, and you cooperate with Datavidence to remediate misuse.

6. Caching, storage, and Derived Data

You may cache and store the Data as reasonably necessary to operate your authorized use, subject to any freshness, retention, or volume limits in the order form. Storing a materially complete or substitutive copy of the dataset for the purpose of serving it to third parties is Redistribution and requires a grant under §4. Derived Data that does not reveal or reconstruct a material portion of the underlying Data may be used and shared per the order form; where it does, it is treated as the Data for purposes of these terms.

7. Permitted attribution use (all plans)

Nothing here prevents you, on any plan, from publishing individual figures or limited excerpts (for example, a company's reported revenue in an article, report, or dashboard) with attribution to the SEC EDGAR source, provided you do not systematically reproduce the dataset, strip provenance, or present the figures as a competing data feed.

8. Fees

Redistribution rights are priced separately from standard plan fees and are set out in the applicable order form. Standard plan fees do not include redistribution rights.

9. Term and termination

A redistribution grant lasts for the term stated in the order form and terminates on expiry, on termination of the underlying agreement, or on your uncured breach of these terms. On termination you must stop all Redistribution, and — unless the order form provides otherwise — cease serving, and delete or disable, stored Data held for redistribution. End Recipients' rights terminate with your grant.

10. Governing terms

These terms are part of, and governed by, the Terms of Service, including its governing-law, limitation-of-liability, and indemnification provisions (State of Washington, USA). In the event of a direct conflict between a signed order form and these terms, the order form governs for the subject of the conflict.
