1. Agreement to these Terms

By accessing or using the Service, or by clicking to accept where presented, you ("you," "Customer") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.

Where you obtain access through a third-party marketplace (for example RapidAPI or AWS Data Exchange), that marketplace's terms also apply to your use, and to the extent of a direct conflict regarding billing or account management, the marketplace's terms govern those subjects.

The Service provides information derived from public filings made available by the U.S. Securities and Exchange Commission (SEC) through its EDGAR system, normalized and delivered via API. Datavidence programmatically ingests, parses, and normalizes that public data; every value can be traced to its source filing via the provenance source_url.

4. Informational purposes only; not advice

The Data is provided on an "as is" and "as available" basis, for informational purposes only. It is not investment, financial, legal, tax, or accounting advice, and must not be relied upon as the basis for any trading, investment, or compliance decision. You are solely responsible for verifying figures against the original SEC filings (using the provenance source_url) and for any decisions or automated, algorithmic, or model-driven use of the Data, which is entirely at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND THE DATA ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any Data is accurate or current.

6. Source attribution; no SEC affiliation

The underlying filings are public records of the SEC. Datavidence is not affiliated with, endorsed by, or sponsored by the SEC or any government agency. Any trademarks, company names, or ticker symbols referenced in the Data belong to their respective owners and are used for identification only.

7. Sandbox data

Data returned in Sandbox mode is fictional and does not represent real SEC filings or any real company. It is provided solely for evaluation and integration testing and must not be used or presented as real financial data.

9. API keys and security

You are responsible for keeping your API Key confidential and for all activity under it. Notify us promptly of any suspected compromise. We may rotate, suspend, or revoke a key that we reasonably believe is compromised or being used in breach of these Terms.

10. Rate limits, quotas, and plans

Your plan defines a monthly request quota and applicable rate limits, which are hard-enforced (the Service returns HTTP 429 at the quota boundary). We may adjust limits, tiers, or features with reasonable notice. Where you purchase through a marketplace, quota and billing are metered by that marketplace.

11. Fees and billing

Fees, billing cycles, and payment are handled by the channel through which you subscribe (a marketplace such as RapidAPI or AWS Data Exchange, or a direct agreement). Except as required by law or expressly stated, fees are non-refundable.

12. Intellectual property

The underlying facts are public-domain SEC data. As between you and Datavidence, Datavidence owns the Service, its software, normalization schema and taxonomy, documentation, and the compilation and arrangement of the Data. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Data in accordance with your plan and these Terms.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAVIDENCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR TRADING/INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THE DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

14. Indemnification

You will indemnify and hold harmless Datavidence from any claim, loss, or expense (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, suspected abuse, non-payment, or as required by law. Sections that by their nature should survive (including 4–6, 12–14, and 17) survive termination.

16. Changes to the Service or Terms

We may modify the Service or these Terms. For material changes we will provide reasonable notice (for example, by updating the effective date and, where practical, notifying subscribers). Continued use after changes take effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Washington will have exclusive jurisdiction, and you consent to venue there.
